Stripe Issuing Rewards Program Terms (Preview)

These terms (“Stripe Issuing Rewards Program Terms” or “Terms”) supplement the General Terms and, together with the Stripe Financial Services Terms, Stripe Issuing - Accountholder (United States) Terms, Issuing Bank Terms and Stripe Financial Accounts Terms, all of which are incorporated into these Terms by this reference, govern User’s participation in the Stripe Issuing Rewards Program. Capitalized terms that are not defined in these Terms have the same meanings given to them in the General Terms, the Service Terms, or the Issuing Bank Terms.

1. Preview Service.

Unless Stripe notifies User otherwise in writing, the Stripe Issuing Rewards Program is a Preview Service.

2. Basic Terms and Eligibility.

To be eligible for the Stripe Issuing Rewards Program, both at the time of enrollment and on an ongoing basis throughout User’s participation in the Stripe Issuing Rewards Program (including on any Reward Date), User must:

(a) maintain both a Card Account and a Financial Account in Good Standing;

(b) remain in compliance with these Terms and any other agreement between User and Stripe;

(c) use the Card solely for commercial purposes and not for any personal, family, or household purposes;

(d) use the Card in accordance with the Stripe Issuing - Accountholder (United States) Terms and the Issuing Bank Terms; and

(e) be domiciled in a jurisdiction in which Stripe makes the Stripe Issuing Rewards Program available, as determined by Stripe from time to time.

If User fails or ceases to satisfy any of the foregoing eligibility requirements (“Eligibility Requirements”) at any time, User's participation in the Stripe Issuing Rewards Program may be suspended or terminated by Stripe, and any accrued but unpaid Cash Back Rewards may be forfeited in accordance with Section 7. Stripe reserves the right to determine, in its sole discretion, whether User is eligible to participate in the Stripe Issuing Rewards Program.

3. Earning Cash Back Rewards.

User will earn Cash Back Rewards only on the Net Purchase Amount. All Cash Back Rewards are finally determined on the Reward Date, which may be later than the date the Eligible Transaction was made or is reflected on User’s Card Account. The following transaction types and Cash Back Rewards rates apply with respect to the Stripe Issuing Rewards Program:

Cash Back Rewards are calculated on each individual Eligible Transaction and are rounded to the nearest whole penny.

4. Ineligible Transactions.

Not all purchases made with User’s Cards qualify for a Cash Back Reward. “Ineligible Transaction means any of the following transactions or categories of transactions:

(a) fees or payments related to User’s Card Account or Financial Account, including applicable annual fees, late fees, or other charges assessed on User’s Card Account or Financial Account;

(b) to the extent such transaction types are available via User’s Card Account: cash-like transactions (including, ATM transactions, money orders, or funding transactions); transactions involving precious goods (including gemstones, watches, and jewelry) or high-risk resale transactions (including stamp and coin store transactions); transactions made at merchants with gambling or gaming merchant category codes; and government payment transactions; and

(c) any other transactions or categories that Stripe designates as ineligible for Cash Back Rewards in its sole discretion, as updated by Stripe from time to time in the Documentation.

User will not earn a Cash Back Reward on any Ineligible Transaction.

5. Automatic Payout.

Subject to Section 2, Cash Back Rewards will be automatically paid to User’s Financial Account on the Reward Date. This payout will appear as an electronic deposit. 

6. Adjustments and Negative Balances.

Any returns, credits, or chargebacks related to otherwise Eligible Transactions will result in a reduction to User’s Financial Account balance in the cash value of any Cash Back Reward associated with such transactions. These adjustments will occur within a reasonable timeframe after the return or credit posts to User’s Card Account. If User closes the Card Account or Financial Account before Stripe makes an adjustment pursuant to this Section 6, User acknowledges that Stripe may debit any User Bank Accounts in the amounts owed by User.

7. Forfeiture, Misuse, and Termination.

Until fully paid to User’s Financial Account, Cash Back Rewards have no cash or monetary value and do not constitute User's property. Upon the closure of User’s Card Account or User’s Financial Account by User or Stripe for any reason, any Cash Back Rewards that have been earned but not yet paid are immediately and automatically forfeited. Without limiting Stripe’s other rights or remedies under any other agreement between User and Stripe, Stripe reserves the right to disqualify User from the Stripe Issuing Rewards Program if Stripe determines, in its sole discretion, that User has engaged in misuse, abuse, fraud, or “gaming” of the Stripe Issuing Rewards Program, which includes purchasing and returning items solely to accrue Cash Back Rewards, or using Cards for an impermissible purpose under the Stripe Issuing - Accountholder (United States) Terms or the Issuing Bank Terms.

8. Program Modifications and Notices.

Stripe reserves the right to alter, change, or terminate the Stripe Issuing Rewards Program or these Terms at any time and for any reason. Stripe will provide at least thirty (30) days advance notice for any material changes that negatively affect how User earns rewards or the value of User’s outstanding Cash Back Rewards. User is solely responsible for determining and paying any applicable tax liability related to the receipt of Cash Back Rewards.

9. Definitions.

Cash Back Reward” means cash back earned by User on its Eligible Transaction and paid to User's Financial Account on the Reward Date if User meets the Eligibility Requirements.

Eligible Transaction” means a payment for goods or services using a Card that is not an Ineligible Transaction. 

Eligibility Requirements” has the meaning given to it in Section 2.

Good Standing” for purposes of these Terms, means the applicable account is not in default, suspended, restricted, closed, or subject to any investigation by a Governmental Authority, or bankruptcy or insolvency proceeding.

Ineligible Transaction” has the meaning given to it in Section 4.

Net Purchase Amount” means the total dollar amount of an Eligible Transaction made by User or an Authorized User, less any returns, refunds, merchant credits, or adjustments.

Reward Date” means the date that a Cash Back Reward is deposited into User’s Financial Account. 

Stripe Issuing Rewards Program” means the service administered by Stripe under these Terms pursuant to which eligible Users earn Cash Back Rewards on Eligible Transactions.
